Terms of Service
The agreement between you and Revolution LCA for buying and using docu.nexus. Written to be read, not to be survived.
The short version. You buy a license to run docu.nexus on your own hardware. We never hold your content, because it never leaves your server. If your license lapses, the software keeps running and your data stays yours; the instance turns read-only until you renew, and you can still read and export everything on it. Refunds are available for 7 days.
That summary is here to orient you. The numbered terms below are the ones that actually govern.
1. Who these terms are between
1.1 These terms are between you (the person or organization installing the software) and Revolution LCA, a worker-owned limited cooperative association organized under the laws of Colorado. We refer to ourselves below as "we" or "us".
1.2 They cover the docu.nexus software, any first-party plugins you license, this website, and the license portal at docu.nexus/license.
1.3 By installing or using the software, you accept these terms. If you are accepting on behalf of an organization, you confirm you are authorized to bind it.
2. Buying a license
2.1 Lemon Squeezy, LLC is the merchant of record for every purchase. They process your payment, handle sales tax and VAT, and issue your invoice. Their name, not ours, is what appears on your card statement, and your payment relationship for the transaction is with them.
2.2 The license to use the software is granted by us, under these terms. So two relationships exist at once: payment with the merchant of record, and the software license with us. Refunds are handled as described in our Refund Policy.
2.3 Prices are shown on the pricing page and are charged per instance, not per seat, within the user limit of the package you choose. We may change prices for future terms; a change never applies to a term you have already paid for.
3. What your license permits
3.1 We grant you a non-exclusive, non-transferable license to install and run one instance of the software, for the term you purchased, up to the user limit and with the plugin entitlements your license key carries.
3.2 You may run that instance on any hardware you control, including your own servers, a virtual machine, or a cloud host you rent. You may take backups, and you may run additional non-production copies for staging, testing, or disaster recovery, provided they are not used for day-to-day work by people beyond your licensed user count.
3.3 Your license key is bound to one instance. You may move it to different hardware whenever you need to, using the migration flow at docu.nexus/migrate. There is no charge for moving, and no limit on how often.
4. What your license does not permit
4.1 You may not resell, sublicense, rent, or offer the software to third parties as a hosted service.
4.2 You may not share, publish, or resell a license key, and you may not attempt to forge, alter, or bypass license verification or plugin entitlement checks.
4.3 You may not remove or obscure copyright or attribution notices in the software.
4.4 docu.nexus is closed-source commercial software. Except where a law gives you a right we cannot exclude, you may not decompile or reverse engineer it. Inspecting your own database, reading your own logs, configuring your own deployment, and writing your own plugins against the published plugin SDK are all expressly permitted and are not restricted by this clause.
5. Term, renewal, and what happens if it lapses
5.1 Licenses are sold quarterly, annually, or as a permanent license. Quarterly and annual licenses renew only if you choose to renew them.
5.2 Your software does not stop working when a license expires, and you never lose access to your content. After the paid term ends there is a 14 day grace period during which everything continues to work normally. After that, the instance becomes read-only: everyone can still sign in and read what they could read before, and you can still export your spaces and pages, but nothing can be created or changed and paid plugins are locked. Your pages, spaces, uploads, and history remain on your server, untouched and exportable, whatever the license state. Installing a valid key restores the instance immediately, with no restart and nothing to recover.
5.3 A permanent license does not expire. Optional yearly maintenance, if you buy it, covers continued updates; if you let maintenance lapse, the version you hold keeps running indefinitely.
5.4 We may terminate your license if you materially breach section 4 and do not fix it within 30 days of us telling you about it in writing.
6. Your content
6.1 We do not hold, process, or have access to the content in your instance. The software is self-hosted, and your pages, files, users, and database live on infrastructure you control. This is a property of how the product is built, not a promise about how carefully we behave.
6.2 License verification is performed offline, on your server, against a signature. A licensed instance does not check in with us, and we do not receive usage data, telemetry, or analytics from it. The limited cases where your instance can contact us at all, each one requiring a person to press a button, are listed in our Privacy Policy.
6.3 Because your content is on your hardware, backups and disaster recovery are yours to run. We cannot restore data for you, because we do not have it.
7. Support
7.1 Support is provided by email at contact@revolution.coop and through the channels listed on our support page. We do not commit to a response time unless we have agreed one with you in writing.
7.2 Support covers the software. It does not extend to your servers, your network, your operating system, or your database administration.
8. Warranties and disclaimers
8.1 We warrant that we have the right to license the software to you, and that we will not knowingly include malicious code in it.
8.2 Otherwise the software is provided "as is". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted or error free.
9. Limitation of liability
9.1 To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data.
9.2 Our total aggregate liability arising out of or relating to these terms is limited to the amount you paid us for the license in the 12 months before the event giving rise to the claim.
9.3 Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.
10. Changes to these terms
10.1 We may update these terms. If a change is material, we will post the updated terms here with a new effective date before it takes effect, and it will apply to your next renewal rather than retroactively to a term you have already paid for.
11. Governing law and disputes
11.1 These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The state and federal courts located in Colorado have exclusive jurisdiction, and both parties consent to venue there.
11.2 Before filing anything, please write to us. Most disagreements are a misunderstanding that an email resolves.
12. Notice
12.1 Legal notice to us should be sent by email to contact@revolution.coop, and is effective on the next business day after it is sent. Notice to you will be sent to the email address on your license.
13. Everything else
13.1 If any provision is held unenforceable, the rest stays in force and the unenforceable part is narrowed to the minimum extent needed to make it valid.
13.2 These terms, together with the Refund Policy and Privacy Policy, are the entire agreement between us about the software, and replace any earlier understanding on the subject.
13.3 A failure to enforce a provision is not a waiver of it.
